STANDARD TERMS AND CONDITIONS OF SERVICE

These Standard Terms and Conditions of Service ("Terms") govern the provision of shipping, freight forwarding, logistics coordination, cargo handling, storage coordination, and related consultancy services by NeXuven LLC ("the Company"), located at 20 4th St, Rawlins, WY 82301, United States, reachable at Shipping@Nexuven.com or +1 307-533-3125.

These Terms apply to all quotations, bookings, orders, invoices, and services provided by the Company unless otherwise expressly agreed in writing.

1. Precedence of These Terms

These Terms govern the contractual relationship between the Company and the Client. Any conflicting or additional terms proposed by the Client shall apply only where expressly accepted by the Company in writing.

The Company may engage independent shipping lines, freight forwarders, terminal operators, customs agents, warehouses, and other service providers to perform or coordinate the requested services.

2. Payment

Invoices are payable within twenty-one (21) working days unless a different payment deadline is specified on the invoice, quotation, or booking confirmation.

The Company reserves the right, subject to applicable law, to charge reasonable late-payment interest and suspend services where invoices remain unpaid.

Additional charges arising from port handling, terminal operations, loading, unloading, storage, demurrage, detention, customs inspections, documentation, or third-party service providers may be invoiced separately when not included in the original quotation.

Any applicable taxes, payment processing fees, or other charges shall be identified on the relevant invoice or agreed payment instructions.

3. Debt Recovery

Where payment remains outstanding more than sixty (60) days after its due date, the Company may engage a debt recovery agency or pursue other lawful collection remedies.

The Client shall be responsible for reasonable recovery costs, including legal expenses, to the extent permitted by applicable law and the relevant contractual agreement.

4. Taxes, Duties, and Customs Charges

Unless expressly stated otherwise, quotations and invoices exclude import duties, customs assessments, destination taxes, inspection fees, and other government-imposed charges.

The Client remains responsible for providing accurate cargo descriptions, vehicle identification numbers, ownership documentation, shipping instructions, and customs information.

Any withholding taxes shall be handled in accordance with applicable law and the parties' contractual arrangements.

5. Nature of Obligations and Third-Party Services

The Company shall use commercially reasonable efforts to coordinate and provide the agreed services.

Shipping schedules, vessel departures, transit times, customs clearance, and delivery dates may depend on third-party carriers, port authorities, customs agencies, and other service providers.

Unless expressly agreed in writing, estimated departure and arrival dates do not constitute guaranteed delivery dates.

The Company's responsibility for third-party services shall be determined by the applicable contractual terms, mandatory law, and the nature of its role in the transaction.

6. Claims and Cargo-Related Issues

The Client should notify the Company promptly in writing of any dispute, cargo damage, shortage, loss, incorrect charges, or service-related complaint, providing supporting documentation where available.

Claims involving ocean carriers, terminal operators, warehouses, or other third parties may be subject to separate contractual requirements and legally applicable notification deadlines.

Nothing in these Terms excludes or restricts rights or liabilities that cannot lawfully be excluded or restricted.

7. Governing Law

Unless otherwise required by mandatory applicable law or expressly agreed in writing, the contractual relationship between the Company and the Client shall be governed by the laws of the State of Wyoming, United States.

Mandatory international transport conventions, applicable maritime law, customs regulations, and other overriding legal requirements shall continue to apply where relevant.
